Masters of the Universe® Create a Character Contest

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS CONTEST. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. MANY WILL ENTER, FEW WILL WIN.

CONTEST PERIOD: The Create A Character Contest (“Contest”) begins on July 23, 2011, and ends on December 31, 2011 (“Contest Period”).

ELIGIBILITY: Contest is open to permanent lawful residents of the 50 United States and the District of Columbia who are age 6 and over inclusive, at the time of participation. Officers, directors, employees, and agents of Mattel, Inc. (“Sponsor”), and Sponsor's affiliated and licensee or licensor companies, parents, subsidiaries, and advertising and promotion agencies (collectively, “Contest Entities”), and their respective family members and household members are ineligible to participate in this Contest. Contest is void in Puerto Rico, outside the United States, and where prohibited or restricted by law.

HOW TO ENTER: First, if you are under 18, ask your parent for permission to go onto the Internet. Then, visit www.MattyCollector.com and click on the Contest banner. Follow the on-screen instructions to download a Create a Character Contest Official Entry Form. To enter the Contest, print out the form, fill it out by hand and sign. Incomplete forms will be disqualified. If under 18, a parent or guardian must complete and sign the form. Create your character Design Submission on an 8½ x 11 piece of paper. No 3-dimensional submissions will be accepted. Anything not on an 8½ x 11 piece of paper will be disqualified. Mail the fully completed and signed Entry Form along with your Design Submission in a postage paid envelope to: Mattel, 333 Continental Blvd. El Segundo, CA 90245, MS: D1-0110, Attn: Amy Gleason / Create A Character Contest. It must be postmarked by December 31, 2011, 11:29 p.m., and received no later than January 15, 2012, to be eligible. Enter as many times as you’d like, but each entry must be individually submitted and must be accompanied by an official entry form. Limit of one (1) Design Submission per design, per person per day. Retain a copy of each Entry Form and design submitted and for your records. Each contestant (and his or her parent/legal guardian if applicable) agrees, warrants and represents that a) each design submitted by the contestant is the original work of such contestant, b) no one else has any rights with respect to such design configuration, and c) the use of the design by the Contest Entities will not violate the rights of any third parties. All designs submitted become the sole property of Sponsor and will not be returned. Sponsor will own, in perpetuity, solely and exclusively, all designs submitted in this Contest without compensation. Sponsor will not confirm receipt of entries. Sponsor assumes no responsibility for late, lost, misdirected, damaged, illegible, or incomplete entries. All Entry Forms must be completed by hand and are subject to verification.

SELECTING THE FINALISTS: Design Submissions will be judged by a cross-functional panel of judges consisting of Sponsor’s professionals. The judges will select the five (5) best Design Submissions (“Finalists”), one of which will be selected Grand Prize Winner, based on an evaluation of (1) Use of shared parts within the MOTUC line (i.e. standard arms, legs, torso with limited new parts for head, armor/cape and weapons. Characters requiring 100% unique sculpts will be disqualified (2) How well the character fits into the existing MOTUC world (3) ability to translate design into product (4) Originality and Creativity. In the event two or more contestants have submitted a Design Submission where all of the elements of the design are identical, then the contestant whose design is received first will be eligible for judging and the other contestant(s) submitting the identical design will be disqualified and will not be eligible for the Finalist judging process. All entries will be date stamped upon arrival.

SELECTING THE GRAND PRIZE WINNER: Potential Grand Prize winner will be notified on or about July 1, 2012, and revealed at San Diego Comic-Con at the Mattypalooza Fan Panel and online on or about July 22, 2012. If a potential Grand Prize winner cannot be reached by phone or mail within seven (7) days from the first notification attempt, then the winner will be announced without prior notification to the contestant. The decisions of the Sponsor relating to the judging of the contestants are final. In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, or any other causes beyond the reasonable control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, then Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Contest and select winners pursuant to such criteria as Sponsor establishes in its sole discretion.

PRIZES: One (1) Grand Prize: The Grand Prize winning Design Submission will be considered for inclusion in a line of Masters of the Universe Classics™ single carded figures to be manufactured and distributed on Mattycollector.com. Grand Prize also consists of a paid one-year subscription to the Masters of the Universe® Classics Club Eternia® on mattycollector.com. (Approximate Retail Value [“ARV”] $500.00). Sponsor may, in its sole discretion, choose whether or not to manufacture and distribute the winning Design Submission or to otherwise alter or modify the winning Design Submission. Four (4) First Prizes: A paid 1 year subscription to the Masters of the Universe® Classics Club Eternia® (“ARV” $500.00 each). No transfer, substitution, or cash equivalent for prizes allowed except at Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value if a prize cannot be awarded as described for any reason. The total approximate retail value (“ARV”) of all the prizes is $2,500. All prizes will be awarded in the name of the contestant or the parent/legal guardian if under age 18 as found on the contestant’s Entry Form.

RELEASES: The winners or parent/legal guardian of each of the potential five (5) Finalists will be required to execute an Affidavit of Eligibility and a Publicity and a Liability Release (“Affidavit/Release”) on behalf of the potential Finalist. All Affidavits/Release forms must be returned by the date indicated on such documents. If such documents are not returned by that time, or if a contestant is found to be ineligible, or if he/she does not comply with the Official Rules, then such potential Finalist or Grand Prize winner will be disqualified and another contestant will be selected as a Finalist or awarded the Grand Prize, at the Sponsor's sole discretion. If prize or prize notifications are returned as undeliverable, this will result in disqualification of the contestant and an alternate winner will be selected in accordance with the rules of this Contest.

CONTEST CONDITIONS: This Contest is subject to all applicable federal, state and local laws, except where prohibited by law. Each contestant’s entry and/or acceptance of a prize constitutes permission for the Contest Entities to use, publish, and display the winner’s Design Submission, winner’s name, voice, photograph, and other likeness and/or any biographical information the winner may provide, and any statement the winner may make concerning the Contest or the prizes, in any and all media, in perpetuity, for promotional and marketing purposes, including but not limited to advertising, publicizing, and promoting the Sponsor’s products, without notification or additional compensation, as detailed in the applicable Entry Form and/or Affidavit, except where prohibited. In the event that a Design Submission is manufactured or used for promotional and/or marketing purposes, the Contest Entities reserve the right to reproduce it in full or modify it at their discretion without notification or further compensation. By participating, contestants agree to be bound by these Official Rules and the decisions of the Sponsor and the Contest Administrator. All decisions of the Sponsor’s judges are final in all matters relating to this promotion.

RELEASE AND LIMITATIONS OF LIABILITY: Winners and contestants agree to release, discharge, indemnify, and hold harmless Contest Entities from and against any claims, damages, or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in any Contest-related activity or participation in this Contest, including any claims relating to use, misappropriation, or disclosure of the Design Submission or a claim regarding ambiguity of these Official Rules. Contest Entities are not responsible for late, lost, damaged, misdirected, incorrectly addressed, incomplete, illegible, undeliverable, destroyed, or postage-due Entry Forms or late, lost, damaged, misdirected, incorrectly addressed, incomplete, illegible or undeliverable Design Submissions due to a) system errors or failures; b) faulty transmissions or other telecommunications malfunctions resulting from any hardware or software failures of any kind; c) lost or unavailable network connections; d) typographical or system errors and failures; e) any problems or technical malfunction(s) of any telephone network or lines, computer online systems, servers or providers, computer equipment; or f) any injury or damage to a person’s computer related to or resulting from entering or participating in the Contest, or downloading any Entry Form for the Contest, or other telecommunications malfunctions which may limit a contestant’s ability to participate. Sponsor may prohibit a contestant from participating in the Contest, if, in its sole discretion, it determines that said contestant is attempting to undermine the legitimate operation of the Contest by cheating, deception, or other unfair playing practices or intending to annoy, abuse, threaten or harass any other contestants or Sponsor representatives. CAUTION: ANY ATTEMPT BY A CONTESTANT TO DELIBERATELY DAMAGE THE WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK ANY AND ALL REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH CONTESTANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

WINNERS LIST: To receive a list of the winners, please send a self-addressed stamped envelope to Mattel, 333 Continental Blvd. El Segundo, CA 90245, MS: D1-0110, Attn: Amy Gleason / Create A Character Contest. Residents of Vermont and Washington State may omit postage.
